Affiliate programme terms

Version 2026-09-17, in force from 17 September 2026. When these terms change, the version and this date change with them (section 13).

1. About these terms

These terms govern the SceneRecap affiliate programme (the “Programme”), operated by Neurotech AI Solutions GmbH, Lückstr. 24, 10317 Berlin, Germany (“SceneRecap”, “we”, “us”). They apply in addition to our Terms of service. When you apply, you accept the version shown at the top of this page, and we record which version that was.

The Programme is open to businesses only: you may take part in the course of your trade, business or independent profession (as an entrepreneur within the meaning of § 14 BGB), not as a consumer. By applying you confirm that this is the case, and you will tell us if it stops being the case. Your participation is a contract between you and SceneRecap on these terms; it supplements the Terms of service that govern your SceneRecap account and does not replace them. Where the two conflict on a point concerning the Programme, these terms apply.

2. Joining the Programme

Anyone with a SceneRecap account who takes part as a business (section 1) may apply. We review every application individually and may approve or decline it at our discretion. Each person may hold one affiliate account. Your code must be 4 to 32 lowercase letters, digits or hyphens; we may refuse or withdraw a code that impersonates SceneRecap or anyone else.

3. Referrals and attribution

  • Your link is scenerecap.com/r/yourcode, or any page on scenerecap.com with ?ref=yourcode added.
  • A visitor becomes your referral if they create a new SceneRecap account within 30 days of first arriving through your link, while your code is approved.
  • The first affiliate link a visitor arrives through is the one that counts for those 30 days; a later affiliate link does not replace it. A person can be referred only once, and existing users cannot be referred.
  • We use no cookies. If the visitor allows marketing measurement in our privacy banner, your code is kept in their browser’s storage for 30 days; if they decline or ignore it, the code is kept only while they are on the site, so it counts only if they sign up in that visit. We cannot credit a referral the visitor’s own choices prevented us from recording.
  • Clicks on your link are counted without personal data: we record the page, the referring website’s domain and, where available, the country — never an IP address, a browser fingerprint or a query string.

4. Commission

  • You earn 40% of the net revenue we receive from each referred customer’s paid subscriptions (plans and add-ons), from the start of the first paid service period for as long as the customer keeps paying.
  • Net revenue is the amount the customer paid for an invoice, less the VAT or sales tax included in it and the payment processing fee Stripe charged for that payment.
  • A referred customer receives 20% off their subscription invoices for the first 3 months, applied automatically at checkout. Commission is calculated on what the customer actually paid after that discount.
  • Once 5 of your referrals have become paying customers (not refunded, disputed or disqualified), we credit a one-off bonus of $50, or its equivalent in euro at the exchange rate on the day it is credited. It is paid with your next payout and counts towards the payout minimum. The bonus is paid once per affiliate.
  • Approved affiliates may ask for a free Pro plan for twelve months. We grant it at our discretion; it ends if participation ends, it is not payment, and it creates no obligation to publish anything.
  • Commission is calculated in the currency Stripe settled the payment in and rounded down to the cent. Free accounts earn nothing.

5. Hold period, refunds and chargebacks

  • Each commission is held for 30 days after the customer’s payment, then becomes payable.
  • If a payment is refunded, the commission on it is reversed in proportion to the amount refunded. If a payment is disputed (a chargeback), the commission on it is reversed.
  • If a reversed commission has already been paid to you, the amount is deducted from your next payout.

6. Payouts

We pay payable commission once your payable balance reaches €50; a smaller balance rolls over to the next payout. Payouts are made manually, by bank transfer to an IBAN or by PayPal, to the payout details you provide in your affiliate dashboard. We may hold payouts for an account that is suspended while we review it.

  • Credit notes instead of invoices. You agree that we settle your commission by self-billing credit notes (Gutschriften within the meaning of § 14 (2) sentence 2 UStG): for every payout we issue you a credit note, which serves as the invoice for the services you provided, and you do not send us invoices. If you object to a credit note, tell us within 14 days of receiving it; it then loses its effect as an invoice and we will ask you for one instead.
  • Amounts include VAT. The commission figures in your dashboard and in these terms are the total amounts we pay, including any VAT due on them. If you are a VAT-registered business in Germany, the credit note shows the net amount and the German VAT contained in it. If you are a business in another EU country or outside the EU, we account for the VAT ourselves under the reverse-charge mechanism (§ 13b UStG) and the credit note shows none. If you are exempt as a small business under § 19 UStG, the credit note shows none either.
  • Information we need first. Before your first payout we ask for what a credit note legally requires and what the right VAT treatment depends on: your legal name and address, your country, whether you are VAT-registered (and your VAT ID if you have one) or a small business under § 19 UStG, and, for businesses outside Germany, evidence that you act as a business. We may also ask you to verify your identity. Payouts are held until we have this information, and you must tell us when it changes.
  • Your own taxes. Commission is income you are responsible for declaring and taxing in your own country. We do not withhold income tax; if a law obliges us to withhold or report, we do so and tell you.
  • When and how. We normally run payouts once a month, for balances that have reached the minimum, within 30 days after the end of the month. Every payout is made in euros; if your bank or PayPal account is in another currency, the conversion and any fees are yours. We may refuse or delay a payout where making it would be unlawful — for example under sanctions rules — and we tell you when that is the case.

7. How you may promote SceneRecap

  • Describe SceneRecap accurately. Do not promise features, prices or results that SceneRecap does not offer.
  • Make it clear to your audience that you earn a commission from your recommendation.
  • Do not send unsolicited messages, post fake reviews, or buy or incentivise sign-ups.
  • Say that it is a paid recommendation. Wherever you use your link, make the commercial purpose clear before people click, in the way the law where your audience is and the platform you are on require: for a German audience a clear “Anzeige” or “Werbung” label (§ 5a (4) UWG, Medienstaatsvertrag); for a US audience a clear and conspicuous disclosure such as “#ad” or “affiliate link” under the FTC’s endorsement guides. An unlabelled link is a breach of these terms.
  • No unsolicited messages. Do not send your link by email, direct message, SMS or comment to people who have not asked to hear from you (§ 7 UWG), and do not post it where it is off-topic or unwelcome.
  • Our name and brand. You may use the name SceneRecap and the material we publish to describe SceneRecap accurately. You may not bid on “SceneRecap” or misspellings of it as keywords in paid search or app-store advertising, register domains, social handles or pages containing it, present yourself as SceneRecap or as our agent, or alter our logo.
  • Prohibited channels and methods. Coupon, voucher, discount, cashback and deal sites; paid advertising on our brand terms; pop-ups, pop-unders, iframes, forced clicks, redirects or scripts that load your link without a deliberate click; content that is unlawful, misleading, hateful, sexual or infringing; and any placement that breaks the rules of the platform it is on.
  • Your own compliance. You are responsible for meeting the advertising, consumer and data protection law that applies to you and your audience, including any consent your own newsletters, cookies or tracking need.

8. Self-referral and fraud

Signing up through your own link — including with another email address — and earning commission from a workspace you are a member of are not allowed: such referrals earn nothing and are flagged for our review. We may reverse commission obtained through fraud or a breach of these terms, and suspend or close the affiliate account concerned.

If we have reasonable grounds to suspect fraud or a breach of these terms or of the law, we may hold the commission concerned and suspend your account while we look into it. We tell you what we suspect, you have 14 days to respond, and we decide after that: either the hold ends, or we reverse the commission obtained through the fraud or breach and may end your participation (section 11). Commission already paid out that turns out to have been obtained this way is deducted from your next payouts or, if there are none, must be repaid within 30 days of our request. Reversals for refunds and chargebacks (section 5) happen automatically and are not affected by this procedure.

9. Our relationship

You take part in the Programme as an independent business. Nothing in these terms creates an employment relationship, a partnership, a joint venture or an agency between you and SceneRecap. You are not our representative, you have no authority to make offers, promises or statements on our behalf, and you must not suggest that you have. You decide for yourself whether, when, where and how you promote SceneRecap, with your own equipment and at your own cost; we set you no working hours, no targets and no instructions beyond these terms, and you owe us no minimum activity. You are responsible for your own registrations, taxes, social security contributions and insurance.

10. Data protection

To run the Programme we process your account email, your code, your payout details (stored encrypted) and the statistics of your referrals. The people you refer appear in your dashboard only under an anonymous reference, never by name or email.

Neurotech AI Solutions GmbH is the controller for this data. We use it to run the Programme and pay you (Art. 6(1)(b) GDPR — performance of this contract), to meet our accounting and tax obligations (Art. 6(1)(c) GDPR) and to prevent and investigate fraud (Art. 6(1)(f) GDPR — our legitimate interest in paying only for genuine referrals). It goes to our hosting providers as far as running the service requires, to our bank or PayPal to make your payouts, and to our tax adviser and the tax authorities where the law requires credit notes to be produced — and to nobody else unless the law obliges us. We keep your affiliate account data for as long as you take part and delete it within twelve months after you leave, except that credit notes, payout records and the commission ledger behind them are kept for the statutory retention periods of the HGB, AO and UStG (currently up to ten years) and may not be altered during that time. You have the rights described in our privacy policy: access, rectification, erasure, restriction, portability, objection, and a complaint to a supervisory authority. Where your own promotion involves personal data — your newsletter, your website’s analytics — you are the controller for it; we are not joint controllers, and neither of us is a processor for the other.

11. Suspension and termination

  • You may leave the Programme at any time by emailing us. We may end your participation at any time with 14 days’ notice by email to your account address. Either way, your link stops attributing new referrals when participation ends.
  • We may suspend or end your participation immediately, without notice, for fraud, for a serious breach of these terms or of the law, or if your SceneRecap account is closed.
  • After an ordinary end of participation, commission on referrals made before it keeps accruing for as long as those customers keep paying and is paid on the normal schedule, hold period and minimum included. If participation ends because of fraud or a serious breach, commission obtained through the fraud or breach is forfeited; other accrued commission is paid.
  • A balance below the payout minimum is not lost: it is paid together with later commission once it reaches the minimum, and at the latest twelve months after the last commission was credited to you, regardless of the minimum.
  • We may change or close the Programme at any time. If we close it, we give 30 days’ notice, no new referrals are attributed after the closing date, and every balance is paid out within 60 days after it, regardless of the minimum.

12. Liability

We are liable without limit for damage caused intentionally or by gross negligence, for injury to life, body or health, under the Product Liability Act, and where we have given a guarantee. For damage caused by slight negligence we are liable only where we breach an obligation whose fulfilment makes the proper performance of this contract possible in the first place and on whose fulfilment you may regularly rely (a cardinal obligation), and then only for the damage that is typical and foreseeable for a contract of this kind. We are not liable for commission that could not be attributed because a visitor declined or withdrew consent, cleared their browser or signed up outside the attribution window, nor for lost profit from a change to or the closure of the Programme made in accordance with these terms. You will indemnify us against claims by third parties, including the reasonable costs of legal defence, that arise from your promotion in breach of these terms or of the law — for example unsolicited messages, unlabelled advertising or misleading claims — provided we inform you of the claim promptly and do not settle it without your consent, which you may not unreasonably withhold.

13. Changes to these terms

Every change to these terms gets a new version, shown at the top of this page, and we record which version each affiliate accepted.

We announce changes at least 30 days before they take effect, by email to your account address and on this page. If you do not want to accept a change, you may leave the Programme before it takes effect; if you keep using your link after that date, the new version applies to you. A change that lowers the commission rate, shortens the commission period or lengthens the hold applies only to referrals made after it takes effect; referrals made before keep the terms they were made under. Changes required by law, or that only benefit you, may take effect with shorter notice.

14. Governing law and jurisdiction

These terms and the Programme are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising from the Programme is Berlin, provided you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, or have no general place of jurisdiction in Germany; otherwise the statutory rules apply. The English text of these terms is the binding version.
